Master SaaS Agreement

Effective Date: February 14, 2026

This Master Software-as-a-Service Agreement ("Agreement") is entered into by and between Howell Computing, LLC ("Company") and the subscribing customer ("Customer").

1. Services

Company provides a subscription-based, multi-tenant SaaS platform that imports transactional data from supported Point-of-Sale (POS) systems into Customer-selected accounting software using authorized API connections.

2. License

Company grants Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Service for internal business purposes.

3. Third-Party Integrations

Customer acknowledges that all accounting software and POS systems integrated with the Service are owned and operated by their respective providers.

Company is not affiliated with any such providers beyond the use of approved API access and is not responsible for API changes, outages, or failures of third-party systems.

4. Subscription, Billing & Auto-Renewal

Subscriptions renew automatically monthly unless canceled prior to the renewal date.
Fees are billed in advance and are non-refundable except as required by law.

5. Data Ownership

Customer retains ownership of all financial and transactional data.
Company processes Customer data solely to provide the Services.

6. Data Security

Company maintains commercially reasonable administrative, technical, and physical safeguards appropriate for financial data.

7. Data Accuracy Disclaimer

Important: Customer is solely responsible for reviewing imported data.
Company does not guarantee accounting accuracy, tax compliance, or regulatory compliance.

8. Limitation of Liability

  • Company shall not be liable for indirect, incidental, special, or consequential damages.
  • Total aggregate liability shall not exceed fees paid by Customer in the 12 months preceding the claim.
  • Company shall not be liable for losses arising from cyber incidents beyond commercially reasonable controls.

9. Indemnification

Customer agrees to indemnify Company for claims arising from misuse of the Service or inaccurate financial reporting.

10. Service Level

Target uptime is 99% monthly availability, excluding scheduled maintenance.

11. Termination

Either party may terminate upon material breach.
Upon termination, access ceases and data may be deleted after a reasonable retention period.

12. Dispute Resolution & Arbitration

Any dispute shall be resolved by binding arbitration in Lorain County, Ohio under AAA commercial rules.
Governing law is the State of Ohio.

13. Modifications

Company may update this Agreement with notice via website or email.
